昨日のコメントの追記をしたいのですが、
今日は、資産の価額はどのようにして決まるのか、資産の公正な価額とは何か、について書きたいと思います。
結論を一言で言えば、所有者が見積もる資産の価値は資産の公正な価額とは言えない、となります。
まだ説明し切れていない点がありますので、続きは明日書きます。

「売り手と買い手は目的物の価格について合意をしたのであって、ブランド価値について合意をしたのではない。」

売り手と買い手とが折り合える要素は、価格しかないのです。

A seller and a buyer mutually agree on a price of an object itself.
A seller and a buyer don't mutually agree on a price of something immanent in an object.

売り手と買い手は、目的物そのものの価格について合意をするのです。
売り手と買い手は、目的物に内在する何かの価格について合意をするわけではないのです。

A seller estimates his object. That is a value of the object for him.
A buyer estimates a seller's object. That is a value of the object for him.
The amount which a buyer pays to a seller as a consideration of the object, that is a price.
The amount which a seller receives from a buyer as a consideration of the object, that is a price.
A value of an object differs for each party
But, a price of an object is only one.
A price of an object is recorded on a book. That's a book value.
A seller receives cash more than a value he estimates.
A buyer pays cash less than a value he estimates.
Respective values of an object don't become fair until a seller and a buyer mutually agree on a price of the object.

売り手は、所有している目的物の価値を見積もります。それが売り手にとってのその目的物の価値です。
買い手は、売り手が所有している目的物の価値を見積もります。それが買い手にとってのその目的物の価値です。
買い手が売り手に対しその目的物の対価として支払う金額、それが価格です。
売り手が買い手からその目的物の対価として受け取る金額、それが価格です。
目的物の価値は、それぞれにとって異なるものです。
しかし、目的物の価格は、1つしかないのです。
目的物の価格が帳簿に記入されます。それが帳簿価額です。
売り手は、自分が見積もった価値以上の現金を受け取ります。
買い手は、自分が見積もった価値以下の現金を支払います。
目的物に対するそれぞれの価値は、売り手と買い手が目的物の価格について合意をするまで、公正なものとはなりません。

A price on which a seller and a buyer mutually agree, that's a fair value.

売り手と買い手が合意をした価格、それが公正な価額です。

In other words, a fair value of an object is determined as a result of a transaction of the object.

他の言い方をすれば、ある目的物の公正な価額は、その目的物の取引の結果として決まるのです。

On a tranasction, a breakdown of a price can be ignored.

取引の際、価格の内訳は度外視できるのです。

A value which a seller estimates is not a fair value.
A value which a buyer estimates is not a fair value.
A price on which a seller and a buyer mutually agree is a fair value.

売り手が見積もる価値は、公正な価額ではありません。
買い手が見積もる価値は、公正な価額ではありません。
売り手と買い手が合意をした価格が公正な価額なのです。

To put it simply, a price becomes a fair value.

簡単に言えば、価格が公正な価額になるのです。
