What you call a "board of directors" is a system to make a decision of operations of a company.
A "director" is an actual executor of operations of a company.

いわゆる「取締役会」とは、会社の業務の意思決定を行うための仕組みです。
「取締役」とは、会社の業務を実際に行う人のことです。

Otherwise, those who have a right to make a decision of operations of a company should be only a "representative director."
In this system of a company, an actual executor of operations of a company is only a representative director,
and directors other than a representative director have no right to make a decision of operations of a company.

さもなくば、会社の業務の意思決定を行う権利を持っているのは、「代表取締役」だけであるべきなのです。
この会社制度においては、会社の業務を実際に行う人物とは代表取締役のみであり、
代表取締役以外の取締役には、会社の業務の意思決定を行う権利は一切ないのです。

The biggest problem of the modern stock company system is that shareholders are not where operations are conducted.

現代の株式会社制度の最大の問題点は、株主は業務が執行されている場所にはいないのことなのです。
